1. Agreement to Terms
By accessing or using Radiant AI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms constitute a legally binding agreement between you and Radiant AI.
2. Description of Service
Radiant AI provides an AI-powered WhatsApp receptionist platform that enables businesses to automate customer enquiries, qualify leads, and manage appointment bookings. The Service includes access to a business management portal, analytics dashboard, messaging tools, and related features.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration
To access the business portal, you must register for an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised use of your account
- Ensuring all information you provide is accurate and up to date
5. Subscription and Payment
Access to the Service is provided on a monthly subscription basis. By subscribing, you agree to:
- Pay the applicable subscription fee for your chosen plan in advance each month
- Provide accurate billing information
- Authorise us to charge your payment method on a recurring monthly basis
All fees are quoted in GBP and are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' written notice to existing subscribers.
6. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months. Upon cancellation, your access to the portal will continue until the end of the paid period.
7. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited messages, or harassing communications
- Violate any applicable laws or regulations, including data protection laws
- Misrepresent your identity or business
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorised access to any part of the Service
- Use the Service for any unlawful purpose or in any way that could harm Radiant AI or third parties
8. WhatsApp and Third-Party Services
The Service integrates with WhatsApp, Calendly, and other third-party platforms. Your use of these integrations is subject to their respective terms of service. You are responsible for ensuring your use of WhatsApp through our Service complies with WhatsApp's Business Policy and applicable messaging regulations.
9. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. As a business using our Service, you act as a data controller for your customers' personal data. You are responsible for ensuring you have appropriate legal basis to process customer data and for complying with applicable data protection laws including UK GDPR.
10. Intellectual Property
The Service, including all software, design, content, and trademarks, is owned by Radiant AI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your business purposes during your subscription period. You may not copy, modify, distribute, or reverse engineer any part of the Service.
11. Confidentiality
Any non-public information about the Service, our technology, pricing, or business operations that you access as a subscriber is confidential. You agree not to disclose such information to third parties without our prior written consent.
12. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience outages beyond our control. We will endeavour to notify subscribers of planned maintenance in advance. We shall not be liable for any loss arising from temporary unavailability of the Service.
13. Limitation of Liability
To the maximum extent permitted by law, Radiant AI shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the Service
- Actions of third-party services including WhatsApp, Calendly, or payment processors
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the three months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Radiant AI from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Termination
We reserve the right to suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay subscription fees, or if we determine that your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately.
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
